OwnPay Terms of Service
These Terms of Service govern access to and use of OwnPay websites, applications, merchant tools, developer APIs, AI-agent payment infrastructure, and related Services.
1. Agreement and Eligibility
These Terms of Service (“Terms”) govern access to and use of OwnPay websites, applications, merchant tools, developer APIs, AI-agent payment tools, and related Services.
By creating an account or using the Services, you agree to these Terms. If you use OwnPay on behalf of a business or other organization, you represent that you are authorized to bind that organization.
You must meet the minimum legal age and eligibility requirements applicable to the Services and your jurisdiction.
2. Description of Services
OwnPay provides technology intended to coordinate payment workflows for humans, merchants, developers, and autonomous software agents.
Depending on availability, eligibility, and configuration, Services may include:
- Payment intents, hosted checkout, payment links, and POS interfaces.
- Invoices, transaction status, and settlement reporting.
- Developer APIs, SDKs, webhooks, and agent integrations.
- Transaction policies and spending controls.
- Blockchain payment coordination and verification tools.
- Integrations with third-party payment, identity, wallet, and fiat services.
Features may be available in sandbox, testnet, beta, or production environments. Not every feature, network, token, or provider is available in every environment or jurisdiction.
3. OwnPay's Role
OwnPay provides software technology and orchestration services. The exact role of OwnPay in a transaction depends on the specific service and transaction flow.
OwnPay does not represent that it is a bank, deposit-taking institution, broker, exchange, money transmitter, payment institution, custodian, or other regulated financial entity unless that status is expressly established and disclosed for the relevant service.
Third-party providers may independently provide custody, conversion, payment processing, identity verification, or fiat transfer services under their own terms and regulatory permissions.
Nothing in these Terms overrides mandatory rights or obligations imposed by applicable law.
4. Accounts and Security
You are responsible for providing accurate information, maintaining the confidentiality of your credentials, protecting API keys and wallet access, and promptly reporting suspected unauthorized access.
You must not share live credentials publicly, expose private keys, or allow unauthorized individuals or software agents to initiate transactions.
OwnPay may require additional authentication, verification, or security checks before enabling particular features.
5. Sandbox, Testnet, and Production
OwnPay may provide separate environments for testing and real transactions:
- Sandbox / Simulated: Activity is simulated and does not represent real blockchain transactions or settlement.
- Testnet / Devnet: Transactions use network-specific test assets (e.g. Base Sepolia) and are not equivalent to real-money payments.
- Production / Mainnet: Transactions involve real digital assets (Native USDC on Base 8453) and irreversible economic consequences.
6. Transactions and Settlement
Transaction execution and settlement depend on blockchain confirmation, network conditions, provider availability, compliance checks, liquidity, wallet configuration, and external factors.
A submitted transaction is not necessarily a completed or final settlement. Statuses displayed by OwnPay should be interpreted according to the definitions provided for the relevant service.
Blockchain transactions may be irreversible. OwnPay cannot guarantee recovery of assets sent to an incorrect address, unsupported network, or unintended recipient. Do not rely solely on a user-interface status when independent transaction verification is required.
7. Fees, Pricing, and Third-Party Charges
Applicable OwnPay transaction fees (Starter 0.25%, Verified 0.10%, Enterprise 0.05%) are disclosed through the relevant pricing interface, documentation, or transaction interface.
Blockchain network gas fees, conversion spreads, provider fees, taxes, and other third-party charges apply separately. Where a fee is quoted before a transaction, the quote is subject to the conditions and expiry stated at the time.
8. Refunds, Cancellations, and Disputes
Refund availability depends on the transaction type, merchant policy, applicable law, and relevant provider terms.
A blockchain transaction generally cannot be cancelled by OwnPay once broadcast and confirmed on Base L2. A merchant may separately agree to issue a refund through a supported on-chain flow from their self-custodied wallet.
OwnPay does not guarantee that a merchant will accept a refund request or that a transaction can be reversed. Nothing in this section limits mandatory consumer rights.
9. AI Agents and Automated Transactions
If you connect an AI agent, bot, or automated application to OwnPay, you remain solely responsible for its configuration, permissions, credentials, and actions.
You must implement appropriate controls, including spending limits, recipient or contract restrictions, transaction validation, monitoring, and emergency shutdown procedures.
An agent's use of the Services does not transfer your legal responsibility to OwnPay. Policy enforcement features should not be treated as an absolute guarantee that every unsafe or unauthorized action will be prevented.
10. Prohibited Activities
You may not use the Services to:
- Commit fraud, theft, money laundering, terrorist financing, sanctions evasion, or other unlawful activity.
- Violate applicable sanctions, financial, consumer protection, privacy, or data protection laws.
- Access accounts, data, APIs, or systems without authorization.
- Circumvent identity verification, transaction limits, security controls, or geographic restrictions.
- Distribute malware, exploit vulnerabilities without authorization, or disrupt service availability.
- Misrepresent sandbox activity as real settlement or publish fabricated transaction metrics.
- Facilitate prohibited goods or transactions that violate applicable law.
11. Compliance and Verification
Access to certain features may require identity verification, KYB, sanctions screening, transaction monitoring, or other risk checks. You agree to provide accurate information and reasonably cooperate with lawful verification requests.
OwnPay may delay, restrict, reject, or suspend transactions or access where required by law, a provider's rules, risk controls, or reasonable security concerns.
12. Service Availability and Changes
We aim to maintain reliable Services but do not guarantee uninterrupted availability, error-free operation, or continuous support for every blockchain or third-party integration.
We may modify, suspend, or discontinue a feature where reasonably necessary for maintenance, security, compliance, provider changes, or business operations.
13. Intellectual Property and Feedback
OwnPay and its licensors retain rights in their software, branding, documentation, and proprietary materials, subject to open-source licenses.
You retain rights in content and data that you own. You grant OwnPay the limited rights reasonably necessary to process that content to provide the Services. If you provide feedback, you grant permission to use it without compensation.
14. Third-Party Services
Third-party wallets, blockchains, payment providers, and infrastructure providers have independent terms, limitations, fees, and controls. OwnPay is not responsible for third-party operations outside its control.
15. Suspension and Termination
You may stop using the Services at any time. OwnPay may suspend or terminate access for material breaches of these Terms, suspected fraud, security threats, legal requirements, or legitimate operational reasons.
16. Disclaimers
To the extent permitted by applicable law, the Services are provided on an “as available” basis. We do not guarantee that all transactions will succeed, that blockchain networks will remain available, or that digital assets will maintain a particular value.
No statement in the Services constitutes investment, tax, legal, or financial advice.
17. Limitation of Liability
To the maximum extent permitted by applicable law, OwnPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities arising from use of the Services.
18. Indemnification
To the extent permitted by law, you agree to be responsible for third-party claims and reasonable costs arising from your unlawful use of the Services, material breach of these Terms, or infringement of third-party rights.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without prejudice to mandatory consumer protection rights.
Disputes will be resolved in accordance with competent jurisdiction and dispute-resolution processes under applicable law.
20. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated where required by law. Continued use after the effective date of an update constitutes acceptance to the extent permitted by law.
